Terms of service.
The agreement between your organization and us for using Line Three, written plainly. Government customers: your order comes first, and the Government customers section below applies.

The service
Line Three is an API, provided by ASEN ENTERPRISES LLC d/b/a Asen Technology, a Wyoming limited liability company (“we”), that answers requests in the OpenAI chat completions format using models run by Amazon Bedrock in the AWS US West (Oregon) Region (us-west-2), through the Amazon Bedrock Runtime API (bedrock-runtime). It is for unclassified work only. It does not accept controlled unclassified information (CUI) or protected health information (PHI).
Government and enterprise customers may sign a negotiated agreement; ask through [email protected].

Accounts and keys
Your organization holds the account, and its administrators issue keys. Each key is shown once; keep it secret. You are responsible for requests made with your keys until you turn a key off. Tell us at once through the contact form if you think a key has leaked.

Billing and payment
Two ways to pay
You can buy prepaid credit by card, or be billed monthly after use, by card or purchase order. Both have a hard limit, so there is never an open-ended bill.
Prepaid credit
Prepaid credit: any amount you choose, from $100, in whole dollars. Prepaid credit is for anyone paying by card: a government purchase card, a company card or a practice card. Once early access opens, prepaid credit is bought online by card: choose the amount, accept these terms at checkout, and pay. The receipt comes by email.
The prepaid balance
The balance is held in dollars, not tokens. Usage draws it down at the published rates in effect when the usage happens, and requests stop when it reaches zero.
No expiry
The balance never expires and never renews automatically.
Unused balance and refunds
Any unused balance is refunded on request at any time, and when you close your account: to the original card where the card network allows, otherwise by EFT, as your agency or company directs.
Top-ups
You can top up at any time.
Monthly billing with a cap
You set a monthly spending cap. Line Three bills monthly, in arrears (after use), for the previous month’s usage, and never above your cap. The lowest monthly cap is $50.
Usage and the cap
Usage counts toward the month at the rate for each model. A request that starts while the month’s cap has room is allowed to finish, even if it goes over the cap. The next request is refused until the next month, or until you raise the cap. If a request is still running when the cap is reached or a prepaid balance reaches zero, Line Three absorbs that overrun and never bills it. If you lower the cap below this month’s usage so far, new requests stop at once.
Per-key caps
Per-key caps are optional limits inside the account’s cap. The $50 minimum is per account, not per key.
Rates and model retirement
Every customer pays the same published rates, with 60 days’ notice of any change. On monthly billing, your rates are locked for 12 months from sign-up; after that, the published rates apply. If a model is retired, we give 60 days’ notice and move you to a replacement at the same or a lower price.
Rate limits
Rate limits follow the cap, for card and purchase-order accounts alike: 60 requests a minute per key below a $1,000 monthly cap, and 600 a minute per key at $1,000 or more.
Card accounts
By card: charged each month for the previous month’s usage, never above your cap. Once early access opens, card checkout is online: set your monthly cap, accept these terms at checkout, and add the card. A receipt comes by email each month. Level 3 card data is passed on only if the card processor supports it.
Renewal
A card billing authorization lasts 12 months, then stops unless the cardholder confirms renewal. Nothing renews automatically, by card or on a purchase order.
Federal purchase orders
By purchase order: invoiced monthly, in arrears, through Wide Area WorkFlow (WAWF) in PIEE, against the order’s not-to-exceed ceiling. A purchase order’s not-to-exceed ceiling is the total for its period of performance; your monthly cap sits inside it. Usage will stop at the ceiling, and nothing is billed beyond it. Federal purchase orders are paid net-30 under the Prompt Payment Act: unless the order sets another date, payment is due 30 days after the payment period starts (5 CFR 1315.4(g)).
Company purchase orders
Company purchase orders are invoiced monthly in arrears (after use) and are payable net-30, within 30 days of the invoice date. Terms printed on a purchase order apply only where both sides have signed them; otherwise these terms govern.
Taxes
Prices are in US dollars and exclude taxes. If your organization is tax-exempt, give your exemption at checkout or on the order.

Acceptable use
Do not send classified information, CUI, covered defense information under DFARS 252.204-7012, or export-controlled technical data (ITAR or EAR). If you’re unsure, don’t send it. No PHI either.
Do not use Line Three to break the law, to harm people or to attack systems. Do not use it in breach of the AWS Acceptable Use Policy, or of the end-user licence and terms of use of the model you call, which AWS links from each model’s page. All four are linked below.

Suspension
We give account administrators 10 days’ written notice, with the reason, before suspending a key or an account, so you can fix the problem. We may suspend at once, and then tell you why, only to stop abuse that is under way or when the law compels us.

Your content
What you send and what comes back is yours. We claim no rights in it, we store none of it, and we never use it to train a model. Answers can be wrong; check them before you rely on them.
No one at Line Three reads it; the gateway decrypts it in memory only to forward it.

Our data commitments
What Line Three keeps
Only the records listed in the data policy, for the periods listed there. No prompt or response content.
Usage records and reports
Usage records are kept 13 months for billing disputes. Your administrator can choose 90 days instead. Each month your administrators can download a CSV file for each key, or one for all keys, with one row per day and model: the date, the key’s name, the model, tokens in, tokens out and the cost.
Model data handling
If AWS changes how it retains data for a model, we stop routing to that model at once and tell you within 2 business days.
Subprocessors
Our subprocessors are listed in one table in the data policy: Amazon Web Services, for hosting and model inference; a card payment processor and an email provider, each named at launch. This website and the contact form run on Asen Technology’s own servers. We are responsible for our subprocessors’ handling of your data as if it were our own. We give account administrators 30 days’ notice before we add or replace any subprocessor. If you object, you can end the agreement before the change takes effect.
Data processing agreement
The data policy is part of these terms. Its data processing summary sets out the data processing agreement (DPA) terms in plain words; a signed DPA comes with any negotiated agreement.

Confidentiality
Each side keeps the other’s non-public information confidential and uses it only for this agreement. For us, that includes your content as it passes through Line Three, your keys, your usage records and your account details.
If a court, government or other authority compels us to disclose your information, we tell you first, unless the law forbids it, so you can object; we disclose only what is required. How we handle legal demands is in the data policy.

Legal demands
If an authority demands your information, we give you at least 7 days’ notice before we respond, where the law allows it, and ask the authority to seek it from you directly. At your request, we assert any privilege you hold. AWS may receive demands directly, under its own terms.
We challenge demands that are overbroad or not legally valid. We refuse demands from foreign governments unless a U.S. court or U.S. law compels us to comply. Each January, starting in January 2028, we publish a transparency report on the data policy page: how many legal demands we received for customer records in the previous year, and how many we answered.

Security incidents and breach notice
If we confirm a security incident that affects your records, we tell your account administrators and your notices contact within 72 hours of confirming it, and in any case no later than 7 days after we discover it. We keep them updated until it is closed.

Availability and support
Support is through the contact form; contracting officers and cardholders can also email [email protected]. There is no uptime commitment (SLA) at launch. We tell account administrators in advance about planned maintenance.
Asen Technology will carry general and cyber liability insurance before early access opens; certificates are provided with any quote or contract from then on.

Warranties and liability
We provide Line Three as these terms and the data policy, at the version you accepted, describe it. Beyond that, and to the extent the law allows, we give no other warranties.
Each side’s total liability under this agreement is limited to the amount you paid us in the 12 months before the claim, except that our liability for breaching confidentiality or for a data breach we cause is limited to the greater of $50,000 or twice the fees you paid us in those 12 months.
Neither side is liable for indirect or consequential losses. That exclusion does not apply to our liability for breaching confidentiality or for a data breach we cause: those losses are recoverable up to the limit above, whatever kind of loss they are.

Indemnification
Each side defends the other against third-party claims caused by its own breach of these terms, and pays the damages and costs a court awards on them or a settlement it agrees to: we defend and pay for you against a claim that Line Three itself infringes someone’s intellectual property, or that arises from our breach of confidentiality or of the data policy; a commercial customer defends and pays for us against a claim arising from content it sends in breach of these terms. These payments count toward the liability limits above. Government customers give no indemnity; see below.

Notices
Formal legal notices to us go to [email protected]. That address is for legal notices only; for contracting and paperwork, use [email protected], and for everything else, the contact form. We send notices to you at your account administrators’ email addresses and your notices contact. An emailed notice counts as received on the next business day after it is sent.
Your notices contact is the person and email address your organization names for legal notices when it opens an account. Until it names one, notices go to your account administrators.

Changes need your contracting officer or cardholder
A change to these terms binds a government customer only when its contracting officer or cardholder agrees to it in writing (FAR 52.212-4(c)).
Indemnification by government customers
A government customer does not indemnify us, and nothing in these terms asks it to. Any clause that would is unenforceable against the Government (FAR 52.232-39).
Automatic renewal
A purchase order ends at the end of its period of performance or when its ceiling is reached; a new order is a new purchase. Cards: see Renewal under Billing and payment.
Order of precedence
If these terms conflict with your government order, the order comes first, then these terms, then the data policy.
Advance payment
Prepaid credit is paid for before the service is used; monthly billing is paid only after use. Whether your rules allow paying in advance is for your card approving official or contracting office to decide, and Line Three makes no claim that they do.

Governing law and venue
For U.S. federal government customers, U.S. federal law governs this agreement.
For state and local government customers, the law of your own state governs this agreement, and disputes go to the courts of your state.
For every other customer, the law of the State of Wyoming, where ASEN ENTERPRISES LLC is organized, governs these terms, and disputes go to the state or federal courts in Wyoming.

Ending the agreement
You can stop using Line Three and close your account at any time. The last bill covers usage up to the day you close, and nothing after; any unused prepaid balance is refunded as set out under Unused balance and refunds. When you close your account, you can export your usage records first, and we delete them, with every key name, within 30 days. Invoices and payment records are kept only as tax and billing law requires. We can end the agreement if you seriously breach these terms and do not fix the breach within 30 days after we tell you. If we discontinue Line Three, we give 60 days’ notice.

Changes to these terms
We publish any change here, with its date and a new version number, at least 30 days before it takes effect, and tell account administrators and your notices contact by email. A change never raises a rate inside a monthly account’s 12-month lock, and never changes a government order already in place; for government customers, see Changes need your contracting officer or cardholder above. If you do not accept a change, you can end the agreement before it takes effect: charges stop that day, and you pay only for usage up to it.
